We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

YOU AND AVERISOURCE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND AVERISOURCE AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL.

Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IF YOU OR WE WANT TO ASSERT A DISPUTE AGAINST THE OTHER, THEN YOU OR WE MUST COMMENCE IT BY DELIVERY OF WRITTEN NOTICE WITHIN ONE (1) YEAR AFTER THE DISPUTE ARISES – OR IT WILL BE FOREVER BARRED.

Indemnification and Limited Liability

As permitted by applicable law, you agree to, and you hereby, defend, indemnify, and hold AveriSource harmless from and against any and all claims, damages, losses, costs, investigations, liabilities, judgments, fines, penalties, settlements, interest, and expenses (including attorneys’ fees) that directly or indirectly arise from or are related to any claim, suit, action, demand, or proceeding made or brought against, or on account of the investigation, defense, or settlement thereof, arising out of or in connection with the Website.

IN NO EVENT SHALL AVERISOURCE BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE THE WEBSITE OR MATERIAL ON THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER AVERISOURCE IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AS PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AVERISOURCE’S TOTAL LIABILITY TO YOU, FOR ALL POSSIBLE DAMAGES, LOSSES, AND CAUSES OF ACTION IN CONNECTION WITH YOUR PURCHASES, EXCEED AN AMOUNT OF $50 IN THE AGGREGATE.

General

These Terms of Use constitute the entire agreement between you and AveriSource with respect to your use of the Website. These Terms of Use are governed by the substantive laws of the State of Texas, without respect to its conflict of laws principles. You agree to submit to the jurisdiction of the courts situated in the State of Texas with respect to any dispute, disagreement, or cause of action related to or involving the Website.

If any provision is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect.

Our failure or delay to exercise or enforce any right, remedy, or provision of these Terms or any other legal right will not operate as a waiver of such or any other right, remedy, or provision.
